Terms of Service
Last updated: November 4, 2026
These Terms of Service (the “Terms”) govern your access to and use of Fides Deal, including the public website, the contract workspace, messaging, private file sharing, milestone approvals and payment features. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Fides Deal.
Who we are
The Fides Deal platform lets clients and freelancers create, negotiate and close work contracts, approve milestones in turn, share files privately and release payments against approved deliverables. In these Terms, “Fides Deal”, “we” and “us” refer to the operator of the platform.
Eligibility and accounts
You must be at least 18 years old and legally able to enter into contracts to use Fides Deal.
You are responsible for the accuracy of the information in your account and for keeping your credentials secure. You are responsible for the activity that happens through your account.
One person or organization may hold one account. Accounts can act as a client or as a freelancer and switch modes, but the same identity, history and obligations apply to both.
We may require you to verify your email before you can sign contracts, receive payments or access certain features.
Your relationship with the other party
Fides Deal is not a party to the contract you negotiate with the other side. We provide the workspace, the evidence trail and the custody of funds; the client and the freelancer define the scope, deliverables, deadlines, price and number of revisions.
We do not employ, represent, supervise or control either party, and we do not guarantee the quality, legality, timing or completion of any work or that a party will fulfill its obligations.
Contracts and negotiation
Contracts are negotiated turn by turn. Both parties must accept the terms before a contract is locked, and the accepted version is the one that governs that engagement.
After acceptance, changes follow the platform flow, such as a new milestone schedule or new items agreed by both parties, and each accepted change is recorded in the contract history.
Messages, files, approvals and audit records are stored with the contract so both sides can rely on the same evidence.
Funds, milestones and payouts
The client funds the contract value before work starts. Funds are held with our payment provider until they are released under these Terms and the contract terms.
The client approves or rejects each milestone. Approving a milestone releases its amount to the freelancer and marks it as delivered.
The platform fee is retained from each released payment; it is never charged on top. The client always pays the contract amount, and the freelancer receives the agreed amount minus the fee of their plan.
Payments are processed by Stripe. We do not receive or store full card numbers.
You are responsible for the taxes that apply to your activity. Chargebacks and reversed payments may be deducted from the amounts held for you, and we may request evidence before releasing funds again.
Revisions, disputes and audits
Revisions are limited to the number agreed in the contract. Requesting more than that requires the other party's acceptance.
Either party can open an audit ticket from the contract. An impartial auditor reviews the evidence attached by both sides, such as files, messages and approvals, and may request more evidence, release the milestone or reject it.
Audit decisions apply to the funds held by the platform. They do not replace any legal remedy either party may have.
Content, files and intellectual property
You keep ownership of the content and files you upload. You grant us a limited, non-exclusive license to host, process, transmit and display that content only to operate the service and show it to your counterparty, to auditors reviewing a ticket and to the service providers that host the platform.
You must have the rights to upload everything you share. Do not upload content that infringes someone else's rights or that you are not allowed to disclose.
Ownership of the work delivered under a contract is defined by that contract between the client and the freelancer.
Acceptable use
- Do not use Fides Deal for illegal, fraudulent or deceptive activity.
- Do not impersonate another person, misrepresent your identity or create accounts to evade a suspension.
- Do not upload malware, infringe intellectual property or share content you have no right to share.
- Do not harass, threaten or discriminate against other users.
- Do not try to circumvent fees, approvals, escrow rules or access controls.
- Do not scrape, reverse engineer or disrupt the platform, or attempt to access accounts, files or data that do not belong to you.
Plans, fees and taxes
Fides Deal offers Free, Pro and Ruby plans. The platform fee is retained from each released payment: 10% on Free, 7% on Pro and 2% on Ruby. Plan limits for reference files, maximum file size and storage are shown on the pricing page.
Paid plans renew automatically until canceled. You can cancel at any time and keep access until the end of the current billing period.
We may change prices or plan limits with notice. Changes apply to the next billing period after the notice.
Suspension and termination
You can stop using Fides Deal at any time and request the deletion of your account.
We may suspend or terminate an account if it breaches these Terms, if we detect fraud or a risk to other users, or if the law requires it. When possible, we will explain the reason and give you a chance to respond.
Obligations that by their nature survive termination, such as payment obligations, intellectual property, disclaimers and liability limits, remain in force.
Disclaimers
The service is provided “as is” and “as available” to the extent permitted by law. We do not warrant that it will be uninterrupted, error-free or completely secure, or that it will meet a particular expectation.
We are not responsible for the acts or omissions of users, including the work delivered, the accuracy of what they publish or their compliance with the law.
Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, data, goodwill or business opportunities.
To the extent permitted by law, our total liability for any claim related to the service is limited to the fees we retained from your contracts during the twelve months before the event that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law.
Changes to the service and these Terms
We may add, change or remove features, and we may update these Terms. Material changes will be announced in the platform or by email before they take effect.
Continuing to use Fides Deal after a change means you accept the updated Terms. If you do not agree, stop using the service.
Governing law and disputes
These Terms are governed by the laws applicable at the operator's place of establishment, without regard to conflict-of-law rules.
Before starting a formal claim, you agree to contact us and try to resolve the dispute in good faith.
